1. Acceptance of Terms
By accessing or using the DEALITHIC platform ("Platform") at dealithic.co and its subdomains, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.
DEALITHIC, Inc. ("DEALITHIC," "we," "our," or "us") reserves the right to update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
2. Description of Service
DEALITHIC is an AI-powered deal intelligence platform designed for private equity professionals, investment bankers, family offices, and M&A practitioners. The Platform provides:
- Automated Investment Committee (IC) memo generation from deal data you submit.
- AI-powered fund matching against our database of institutional investors.
- Deal rooms, shared pipelines, and collaboration tools for transaction teams.
- Outbound investor outreach tools, including AI-assisted calling campaigns.
- Market intelligence, benchmarking, and deal analytics.
All AI-generated content is provided for informational purposes only and does not constitute financial, legal, or investment advice. You are solely responsible for verifying the accuracy of any output before using it in a professional context.
3. SMS Messaging Program

Program Description
When you express interest during an outbound call facilitated by a DEALITHIC user (a registered platform subscriber), you may receive a follow-up SMS from (814) 303-5783. This message will confirm the email address on file and offer to send you deal-related materials (such as an investment summary or deal snapshot) that you requested during the call. No promotional or marketing messages will be sent without your explicit consent.
Message Frequency
You will receive no more than 3 messages per interaction: (1) the initial follow-up confirming your email, (2) a confirmation reply after you respond, and (3) a clarification prompt if your reply was not recognized. No recurring messages will be sent unless you initiate further communication.
Message & Data Rates
Message and data rates may apply depending on your mobile carrier and plan. DEALITHIC does not charge for SMS messages. Contact your carrier for details about your messaging plan.
Opt-Out & Help Instructions
To stop receiving messages at any time, reply STOP to any message from us. You will receive one final confirmation and no further messages will be sent.

4. Eligibility and Account Registration
The Platform is intended for business and professional use. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@dealithic.co if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable securities, financial, or communications regulations.
- Submit false, misleading, or fraudulent deal data.
- Attempt to reverse engineer, scrape, or extract data from the Platform in an unauthorized manner.
- Use the Platform's AI calling or outreach features to contact individuals who have not consented to be contacted or who have opted out.
- Resell, sublicense, or white-label the Platform without express written permission.
- Interfere with the security, integrity, or performance of the Platform.
Violation of these terms may result in immediate account suspension without refund.
6. Intellectual Property
The Platform, including its software, design, and AI models, is the property of DEALITHIC, Inc. and is protected by applicable intellectual property laws. You retain ownership of any deal data or content you submit. By submitting content, you grant us a limited license to process it solely to provide the services you request.
AI-generated outputs (IC memos, summaries, match reports) delivered to you are yours to use for your business purposes. We do not claim ownership over your generated outputs.
7. Subscription, Billing, and Cancellation
Paid plans are billed on a monthly or annual basis via Stripe. All charges are in US dollars. Subscriptions renew automatically unless cancelled before the renewal date from your account settings.
Refunds are not provided for partial billing periods. If you believe you have been charged in error, contact support@dealithic.co within 14 days of the charge.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that AI-generated content is accurate, complete, or fit for any particular purpose. You assume full responsibility for how you use any output generated by the Platform.
9. Limitation of Liability
To the maximum extent permitted by law, DEALITHIC, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to investment decisions made based on AI-generated content.
Our total cumulative liability for any claim arising under these Terms shall not exceed the amount you paid to DEALITHIC in the 3 months preceding the claim.
10. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in New York County, New York.
